Terms and Conditions

Welcome to Gala Club!

By registering an account with us, or using the services in anyway, you agree to the Club Rules,

And you agree that we can download and install updates to the service on your device;

If you do not agree, please do not use Gala Club.

By using the service, you represent and warrant that:

You can form a binding contract with Gala Club Inc.
You will comply with this agreement and all applicable local, state, provincial, national and international laws, rules and regulations

(When the words WE, US, ITS, OUR, CLUB, GALA are used, it refers to the legal entity Gala Club Inc.)

On Member Eligibility

While Gala is an inclusive community, we have decided to limit our membership to those at least 18 years old.

If you are a minor, please do not register with us.

By registering with us, you acknowledge that you are at least 18 years old.

On Your Data and Privacy Policy

Here is a list of personal information that we store on our database:

Your username and encrypted password
Your email
- This can NOT be changed after registration

Your display name
Your location
- This is required to provide location based services like storing your venues and tag your posts.
Your device’s RegID and Other Identifiers
- These are used to perform system tasks like Push Notifications

Your relationship with other members
- Including but not limited to: your friend list and those who are connected to you via club or party.

Your posts, comments and any other content or media you upload
Your venues, clubs and parties

Your messages
- Messages are removed from cloud database as soon as they are received on your device
- A limited number of most recent messages per chat are stored locally on your device, you may erase history easily at anytime in the chat interface’s option menu

Your notifications
- Notifications are removed as soon as they are sent to your device
- This means we do not keep record of your past notifications once they are fetched by your device
- Your local notifications history may be easily erased at anytime in the notifications history interface

You can always request a copy of your information by contacting us via email at contact@gala.club

Your information may be viewed and changed by community admin or staff if we has reasonable belief that they are unaccepted or offensive; for example, if your bio includes explicitly solicitation for money, we may reset your bio, or if your display pictures contain pornographic or violent content, we may reset your display pictures.

These administrative actions may be performed without notice.

You do understand that we may share your personal information with law enforcement if given proper legal warrants.

You understand that If the ownership or or control of all or part of our service or products or their assets change,

We may transfer your information to the new owner without explicit notice.

Furthermore, from your device, we collect the following data points:

Your current app version
- For prompting you to update
Your device’s current time
Your device’s location
- For updating your RANDOMIZED location in our database
- For navigation
- For determining which SOS emergency number to call
- For determining which map and other UI elements to display
- For determining which age check you are applicable to based on local law

Identifiers
- For push notifications, in-app messaging and any other technical requirements

How do we use this information?

To provide our service
To improve our service
We may perform data aggregation and other types of analysis on your information for purposes such as, evaluating user behavior so we can tweak existing features, remove unused features and add new features
We may also use information about your and/or your interactions history to decide which advertisement or sponsored content to show you

On Interaction with Other Members

Members interact with other members by liking their posts, commenting on their posts and through personal messages.

Please make sure your comments and messages are respectful.

We may not be able to moderate comments and posts.

If an user involved is excessively reported, Admins may review his or her social interactions, but we cannot guarantee prompt moderation; this means it is largely in your hands to self-moderate.

If you receive unpleasant comments, please consider blocking that user.

Of course, you can always delete the comment or disable commenting altogether.

You acknowledge that we are not responsible for the behavior of our members.

If members are found to harass or be abusive to other members,

The profile may be disabled at our sole discretion with or without notice.

You can deactivate your account in the account setting from the settings menu,

This will show a deactivated profile when viewed by other users,

Please note that in this case, your old posts may still be visible.

When chatting with someone,

You understand that Gala Club does not guarantee the person you are talking to is who they say or present they are,

They may even be bots.

You understand and agree to be cautious in all interactions with other members,

particularly if you meet up with other members in person.

You understand and agree to review our safety tips for member interaction both in-service and offline prior to using the service.

You understand and agree that you will NOT provide your financial information (eg. credit card number)

or wire money or send case to other users; if you do send financial information, you understand we are not responsible or liable for what ensues.

On Offline Interactions

You may meet up with members you meet on Gala Club, while this is an exciting prospect,

You understand that Gala Club does not perform criminal check or identify check on its members,

You must therefore take responsibility for your own safety and well-being.

Let us all be responsible adult about it:

Know your limits when you drink
Know what you are drinking
Know where you are going, do not meet in secluded places; always meet in a public space where you feel safe
Inform your friends and family of where you are going, and stay in contact
Protect yourself from STI
Get Consent

Use your common sense.

If you sense danger or are uncomfortable, LEAVE!!

You understand that Gala Club is

In no way responsible or liable for what happens when you have offline interactions with other members.

On Posts and Content

Posts refer to any content that you upload to the Club,

They include your profile pictures, chat image messages, post pictures and videos, and text that you upload.

Your posts are not allowed to contain any pornographic, violent, illegal or generally disturbing content.

If you do come across disturbing or content of bad taste,

You may report the post or the author, we will review the reports and perform administrative action on the said post or post author by removing the post,

Disabling the post’s author’s account at our sole discretion with or without notice.

We understand that sometimes artistic adult content may be posted,

And we have implemented automated image monitoring system to mark certain posts as 18+,

You can view 18+ posts by going to the post’s detail interface,

But if you do, you understand that you may see adult content.

That being said,

We cannot guarantee that all 18+ content will be accurately flagged,

Nor that flagged posts are actually 18+.

For example, the model used in detecting adult content may flag certain food as 18+.

You acknowledge that we are not responsible for the posts of our members.

You can filter out all flagged 18+ posts by going into the setting menu,

But be advised that you may still see posts that have not been accurately flagged.

Example of acceptable artistic adult content:

- A photo of a fashion runway event where partial tasteful nudity may be shown.

The fine line between artistic adult and pornographic content may be hard to put into words,

Thus you understand that we will take a subjective criteria upon content moderation:

That is, if it FEELS unacceptable, we may perform administrative actions at our sole discretion.

We will try our best to moderator user content, however, this is not guaranteed.

You acknowledge and understand that while using Gala Club, you may come across adult content posted by members.

On Copyright Infringement Claims

You are not allowed to post any unauthorized copyrighted content,

If we have received copyright claims against your content,

we may delete your content or disable your account at our sole discretion with or without notice.

If you have reasonable belief that your work has been infringed upon, please provide the following:

an electronic or physical signature of the person
- authorized to act on behalf of the owner of the copyright interest
- OR the owner of the copyright interest
a clear description of the copyrighted work that you claim has been infringed
a clear description of where the material that you claim is infringing is located on the Service
- for example, the post author’s display name, date of the post created
a written statement by you that you have reasonably good faith in the belief that the disputed use involved is unauthorized by the copyright owner, its agent, or the law
your contact information
- including email address, address, and telephone number
a statement by you, made under penalty of perjury, stating that the included information in your submission is accurate, up-to-date and that you are the copyright owner or authorized to act on the copyright owner’s behalf

On Unacceptable Behaviors

Here is a list of examples of unacceptable behaviors:

Racial, political and religious hate speech
Public broadcast of your or other people’s private information
Violence and physical harm
Spamming
Promotion or solicitation
Scamming or impersonation
Copyright and trademark infringement
Illegal usage
Multiple accounts
Disclose financial information
Demand or send cash to other users
Transfer your account to other users
Sell to or buy account from other users
Doing anything to interfere with or impair the intended operation of the service
Underage usage
Pornographic posts and contents
Illegal substance
Harassment and Abuse
Abuse of Gala Club’s systems in any manner
Failure to comply with warnings
Scrap our database for any reason without explicit written permission
Attempt to buy or sell sexual services (ie. prostitution)
Extended Dormancy (we may disable or deactivate your account if you are inactive for more than 2 years)
And any behavior that hurt the well being of the platform or the community

You understand that these criteria could be subjective,

And that we may disable your account at our sole discretion with or without notice.

Any existing digital items, account balance, digital gift cards will NOT be refunded to you.

On Rights We Grant You

Gala Club grants you a personal, royalty-free, non-assignable, non-exclusive,

revocable, and non-sublicensable license to access and use the service.

This license is for the sole purpose of letting you enjoy the service’s many benefits

As originally intended by Gala Club and permitted by this agreement.

You agree not to:

Use the service or any content contained within for any commercial purposes without written permission and consent
Express explicitly or imply that any statements you make are endorsed by Gala Club
Use the service in any way that could interfere with, disrupt, impair or negatively affect the service or the infrastructure in place to support the service
Frame or Mirror any constituent part or whole of the service without Gala Club’s prior explicit written authorization
Use technologies to undermine the integrity of the infrastructure in place to support the service
- Including but not limited to the use of robot, bot, algorithms, SDK, API, scraper, spider
- You agree not to crawl for any data that would be considered by us to be abusive
Compromise the security of the service in anyway (eg. upload virus)
Copy, modify, distribute, create any derivative works from, make use of, or reproduce in any way any copyrighted works, images, trademarks, names, service marks, or any other intellectual property, content or proprietary information accessible through the Service without Gala Club’s explicit written consent prior
Forge or manipulate any identifiers, meta tags, code, headers that disguises the origin of any information transmitted or with any reasonably suspicious intentions
Sublicense, sell, reverse engineer, decipher, decompile or otherwise perform any modification or disassembly any part of the service, or cause or encourage others to do so
Promote any activities that violates this agreement and club rules
Scan, probe, test or target vulnerabilities of our service or any system, network and code base.
Use, access, publish, broadcast, distribute the Gala Club application programming interface (API) without our explicit written consent prior
Use or develop any applications or codes that interact with the well being of the service, or other user’s content or information without our explicit written consent prior

We reserve the rights to investigate and take any available legal action in response to illegal or unauthorized use of the service,

You agree to allow us to automatically download and install updates, new features for the service to your device.

On Rights You Grant Us

By creating an account or using our service, you grant Gala Club a worldwide, royalty-free, transferable, sub-licensable, right and license to use, host, store, copy, display, reproduce, adapt, edit, publish, modify and distribute any information and/or content you post, upload, display or otherwise make available on the Service or transmit to other users.

Gala Club’s license to your Content shall be non-exclusive, except that Gala Club’s license shall be EXCLUSIVE with respect to derivative works created through use of the Service.

For example, Gala Club would have an exclusive license to screenshots of the Service that may display or include your Content. In addition, you authorize Gala Club to act on your behalf with respect to infringing uses of your Content taken from the Service by other users or third parties.

Our license to your content is subject to your rights under applicable law and is for the limited purpose of operating, developing, providing, and improving the Service or developing new services. You agree that any Content you upload, link or place or that you authorize us to upload, link or place on the Service may be viewed by other users and may be viewed by any person visiting or participating in the Service.

You give us permission to show your username, profile picture, and information about your actions (such as post likes) or relationships (such as profile likes, sending hello, favorite venues) in connection with accounts, ads, offers, and other sponsored content that you follow or engage with without any compensation to you.

You agree that all information that you submit upon creation of your account is accurate and truthful and you have the right to post the Content on the Service and grant the license to Gala Club above.

You understand and agree that we may monitor or review any Content you post as part of a Service;

We may perform administrative actions on your content or your profile at our sole discretion.

When communicating with our staff, admins, employees or representatives, you agree to be respectful and kind. If we feel that your behavior towards any of our employees or affiliates is at any time threatening or offensive, we reserve the right to immediately terminate your account and deny future service with or without notice.

In consideration for Gala Club allowing you to use the Service, you agree that we, our affiliates, and our third-party partners may place advertising on the Service. By submitting suggestions or feedback to Gala Club regarding our Services, you agree that Gala Club may use and share such feedback for any purpose without compensating you.

Please be advised that Gala Club may access, store and disclose your account information and Content if required to do so by law. In addition, our admins may access your account information and content to perform assessment on whether to disable your account or remove your content.

On Data Provided Through Gala or Third Party Source

We do not guarantee that any data provided by Gala and/or third party providers are accurate.

You acknowledge and understand that while using Gala Club, any data you receive may not be accurate.

On Purchases

ALL PURCHASES AND REDEMPTION OF VIRTUAL ITEMS MADE THROUGH THE SERVICE ARE FINAL AND NON-REFUNDABLE. YOU ACKNOWLEDGE THAT GALA CLUB IS NOT REQUIRED TO PROVIDE A REFUND IN RESPECT OF VIRTUAL ITEMS FOR ANY REASON, AND THAT YOU WILL NOT RECEIVE MONEY OR OTHER COMPENSATION FOR UNUSED VIRTUAL ITEMS WHEN AN ACCOUNT IS CLOSED, WHETHER SUCH CLOSURE WAS VOLUNTARY OR INVOLUNTARY.

On Subscription

Gala Club may offer products and services for purchase (“in app purchases”) through iTunes, Google Play, carrier billing, direct billing or other payment platforms authorized by Gala Club.

If you choose to make an in app purchase or subscribe to VIP or SVIP membership, you will be prompted to confirm your purchase with the applicable payment provider, and your method of payment, be it your card or a third party account such as iTunes or Google Play (your “Payment Method”) will be charged for the in app purchase at the prices displayed to you for the service(s) you've selected as well as any sales or similar taxes that may be imposed, and you authorize Gala Club or the third party account, as applicable, to charge you.

If you purchase an auto-recurring periodic subscription through an in app purchase, your account will continue to be billed for the subscription until you cancel. After your initial subscription commitment period, and again after any subsequent subscription period, your subscription will automatically continue for an additional equivalent period, at the price you agreed to when subscribing.

Subscriptions are automatically renewed based on the price and subscription period initially selected and agreed to, until you terminate or cancel the subscription.

You may withdraw your consent to automatic card payments at any time, but be advised that any outstanding amounts are still obligated to be paid by you.

If you would like to terminate or change your subscription, you will have to log into your third party account and follow their corresponding instructions to terminate or cancel your subscription; If you terminate or cancel your subscription, you may still use your purchased subscription until the end of your then-current subscription term.

Deactivating your account or deleting your account does not automatically terminate or cancel your subscription;

Deleting the Gala Club application from your device also does not terminate or cancel your subscription; Gala Club will retain all funds charged to your Payment Method until you terminate or cancel your subscription on Gala Club or the third party account, as applicable.

Lastly, if your account has been disabled while a subscription is active, your subscription is NOT automatically terminated, you may terminate your subscription in the same process as described above.

On Refunds

Generally, all charges for purchases are nonrefundable, and there are no refunds or credits for partially used periods.

For subscribers residing in the EU or European Economic Area (EEA), in accordance with local law, you are entitled to a full refund during the 14 days after the subscription begins. Please be advised that this 14-day period commences when the subscription starts.

Request a refund:

If you subscribed using your Apple ID, refunds are handled by Apple, not Gala Club.

To request a refund on iTunes, select “Purchase history,” find the transaction and select “Report Problem”.

You can also submit a request to Apple at https://getsupport.apple.com.

You cannot cancel an order for delivery of digital content that is not delivered on a physical medium if order processing has begun with your explicit prior consent and acknowledgement, thus, you will thereby lose your right of cancellation. This applies, e.g., to purchases of Virtual Items. That means that such purchases are FINAL AND NON-REFUNDABLE.

On Disable Account Appeal

If your account has been disabled by us,

And you believe the decision is not justified,

You can send an appeal request to us via email at contact@gala.club

We will re-evaluate the case on a case by case basis,

Your re-activation is not guaranteed,

Any existing digital items, account balance, digital gift cards will NOT be refunded to you.

On Account Deactivation

You may deactivate your account, for any reason, by going into account settings in the settings menu.

However, Be advised that if you use a third party payment account (eg. iTunes, Google Play)

You will have to manage your purchases and subscriptions through such an account to avoid additional billing.

Upon deactivation, please be advised, that your old posts may still be viewable.

You may still receive notifications in the Deactivated state, so please remember to sign out.

If you would like to COMPLETELY delete your account, please contact us via email at contact@gala.club

Please be advised that existing digital items, remaining balances and gift cards will NOT be refunded to you.

On Updates

We may update the service to provide a better user experience,

New features may be added and existing features revised or removed,

If these actions do not materially affect your rights or obligations, we may not provide you with prior notice.

We may even suspend the service entirely, in which event we will attempt to notify you in advance,

Unless extraordinary circumstances prevent us from doing so.

We may also update this agreement and to the service from time to time.

We may do this to reflect changes in or requirements of the law, new features, or changes in business models and practices.

You understand that the most recent version of this agreement is the version that applies,

The most recent version will be posted on our website at https://Gala.club

You should regularly check and read over the latest agreement,

If changes include material changes that affect your rights or obligations, we will notify your in advance by reasonable means,

Which could include notifications in-app or via email.

If you continue to use the service after changes become effective, then you agree to the updated agreement.

Legal Disclaimers

GALA CLUB PROVIDES THE SERVICE ON AN “AS IS” AND “AS AVAILABLE” BASIS AND TO THE EXTENT PERMITTED BY APPLICABLE LAW, GRANTS NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE WITH RESPECT TO THE SERVICE (INCLUDING ALL CONTENT CONTAINED THEREIN), INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANT-ABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. GALA CLUB DOES NOT REPRESENT OR WARRANT THAT (A) ANY CONTENT OR INFORMATION YOU OBTAIN ON OR THROUGH THE SERVICE WILL BE ACCURATE, (B) ANY ERRORS OR DEFECTS IN THE SERVICE WILL BE CORRECTED, OR (C) THE SERVICE WILL BE SECURE, UNINTERRUPTED, OR ERROR FREE.

GALA CLUB TAKES NO RESPONSIBILITY FOR ANY CONTENT THAT YOU OR ANOTHER USER OR THIRD PARTY POSTS, SENDS OR RECEIVES THROUGH THE SERVICE. ANY MATERIAL DOWNLOADED, VIEWED, DISPLAYED, LINKED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS ACCESSED AT YOUR OWN DISCRETION AND RISK.

GALA CLUB MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF USERS.

BY USING GALA CLUB, YOU AGREE THAT WE WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOST INFORMATION, DATA, PROFITS, REVENUE, MATERIAL LOST, PHYSICAL HARM, EMOTIONAL DISTRESS OR CONSEQUENTIAL, INDIRECT, SPECIAL, EXEMPLARY, PUNITY, OR INCIDENTAL DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS, EVEN IF WE KNOW THEY ARE POSSIBLE. THIS INCLUDES WHEN WE DISABLE, DEACTIVATE OR DELETE YOUR ACCOUNT, CONTENT OR INFORMATION.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GALA CLUB, ITS AFFILIATES, LICENCORS, EMPLOYEES, OFFICERS, DIRECTORS, AGENTS OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE, THE CONDUCT OR CONTENT OF OTHER USERS OR THIRD PARTIES DURING, THROUGH, OR AFTER THE USE OF THE SERVICE, OR THE UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR CONTENT, EVEN IF WE KNOW THERE ARE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL GALA CLUB’S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT PAID, IF ANY, BY YOU TO GALA CLUB FOR THE SERVICE WHILE YOU HAVE AN ACCOUNT WITH US. YOU AGREE TO INDEMNIFY, TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, OUR AFFILIATES, THEIRS AND OUR RESPECTIVE OFFICERS, DIRECTORS, AGENTS, AND EMPLOYEES FROM AND AGAINST ANY AND ALL DEMANDS, CLAIMS, LOSSES, DAMAGES, COSTS, LIABILITIES, COMPLAINTS AND EXPENSES, INCLUDING ATTORNEY’S FEES, DUE TO, ARISING OUT OF, OR RELATING IN ANY WAY TO YOUR ACCESS TO OR USE OF THE SERVICE, YOUR CONTENT, OTHER’S USER CONTENT, YOUR BEHAVIOR AND OTHER USER’S BEHAVIOR OR YOUR BREACH OF THIS AGREEMENT.

IF ANY TERMS INCLUDED IN THIS DOCUMENT IS HELD INVALID, THE REMAINDER OF THIS AGREEMENT SHALL CONTINUE TO BE IN FULL EFFECT. THE FAILURE OF GALA CLUB TO ENFORCE OR EXERCISE THE RIGHT OR PROVISIONS OF THIS AGREEMENT SHALL NOT BE CONSIDERED AS A WAIVER OF SUCH RIGHT OR PROVISION. YOU AGREE THAT YOUR GALA CLUB ACCOUNT IS NON-TRANSFERABLE AND ALL OF YOUR RIGHTS TO YOUR ACCOUNT AND ITS CONTENT (PAST, PRESENT AND FUTURE) TERMINATE UPON YOUR DEATH. NO FIDUCIARY, AGENCY, PARTNERSHIP OR ANY OTHER SPECIAL RELATIONSHIP OR EMPLOYMENT ARRANGEMENT IS CREATED AS A RESULT OF THIS AGREEMENT AND YOU MAY NOT MAKE ANY REPRESENTATIONS ON BEHALF OF OR BIND GALA CLUB IN ANY MANNER.

Governing Law

These terms and conditions are governed by the laws of Canada and the laws of the Province of British Columbia.
